About DCo

Business Review

DCo provides a comprehensive corporate review service called "Business Review", with aims to make a thorough investigation of the actual condition of the target company breaking the boundaries of a traditional accounting due diligence (i.e. examining the content of the balance sheet and income statement etc. only), and flushing out all risks associated with the investment. By using this approach, we can provide a comprehensive due diligence service which includes risk analysis on the effect of goodwill impairment as well as information for evaluating the suitability of the acquisition and management information useful for post acquisition integration.

Extensive M&A advisory experiences

The first and foremost purpose of due diligence for the buyer is generally to gather as much information on the target company as possible. However, simply reporting fundamental information obtained from due diligence is, in most cases, not enough in making an informative decision. It must provide information that lead to solutions such as information on the level of risks associated with the acquisition; whether the risks could be a deal breaker, or if not, whether the risks can be alleviated and if so, how it can be alleviated etc., based on the facts uncovered.

Each senior professional of DCo is able to utilize know-how and expertise accumulated from more than 10 years of M&A and/or turnaround advisory experience to offer advice that exceed the scope of a standard due diligence, extending from strategic plans on purchase price negotiations to advice on key terms of purchase agreements. Moreover, we also provide technical advice based on due diligence results as well as goodwill valuation for the purpose of purchase price allocation when adopting the purchase method for business combination accounting.

Extensive industry coverage

Each member of DCo possess a wealth of experience in audits, businesses, venture investments, M&A, turnarounds and others and have experience in various business categories such as manufacturers, wholesalers, retailers, service industry, etc. DCo can also provide due diligence in a wide range of industries including finance, fishery, mining, construction, food, chemistry, machinery, electronic equipments, transportation, trading, real estate, telecommunication, energy, among others.

Thus, we offer clients the best possible value creation by teaming professionals who are knowledgeable in commercial and accounting practices specific to each industry.

Cross-border transactions

The number of Japanese enterprises acquiring foreign firms is expected to increase significantly over the next few years. Even in domestic transactions, in most cases today, we find that the target company owns one or more overseas subsidiary.

DCo has an established global network of strategic partnerships throughout Europe, United States and Asia where services can be jointly offered at any time. Specifically, DCo has co-working relationships with not only the "Big 4" international accounting firms but with top 20 middle-sized US accounting firms as well. This gives DCo the advantage to provide clients with timely and valuable information from local professionals who are well-informed in commercial practices, accounting, tax, legislation etc., in their respective regions.
